My Approach
I joined Ellis Jones as a Legal Secretary in September 2015 and have progressed in my role throughout my years of employment with the firm and am now a paralegal in the department and am currently studying to complete the SQE2 examinations in order to qualify as a solicitor. I am the initial point of contact with all new client enquiries and aim to work in a professional and efficient manner in completing my workload and dealing with clients. I provide clear legal advice to my clients and endeavour to build a trusting relationship with all of my clients.
Area of Expertise
- Drafting legal documents (to include but not limited to: loan agreements, legal charges, shareholders agreements, addendums to agreements, deeds of releases and ancillary documents),
- Drafting paperwork for share exchanges and demergers. To include: the drafting of share exchange agreements and ancillary documents and drafting and submitting the application for stamp duty relief binder section 77 of the Finances Act 1986 and sending to HMRC.
- Drafting terms and conditions and UK GDPR privacy policies for new businesses and reviewing and amending existing terms and conditions and UK GDPR privacy policies for businesses;
- Advising prize competition promoters on the running of their prize competition website. To include drafting terms and conditions and UK GDPR privacy policies and/or completing a full review of the prize competition website, terms and conditions etc to look for any red flags/ non compliance with the gaming legislation and regulations and advising clients to make the necessary changes to their prize competition website, terms and conditions etc in order for to provide a legal opinion letter for them that could be sent to Facebook or other social media platforms forb advertising their prize competitions or payment providers etc whomever the client requires it to be sent to.
- Advising on trademark applications and drafting trademark specifications, applications and submitting to the Intellectual Property Office;
- Completion of filings at Companies House (to include; appointment and removal of directors, share transfers and restructuring of share capital at Companies House together with the necessary accompanying ancillary documents (i.e. board minutes, resolutions, stock transfer forms and share certificates).
- Completion of filings HM Land Registry;
- Company incorporations at Companies House (to include: the issuing of membership certificates and completion of statutory books for the initial incorporation);
- Solely responsible for the running of the company secretarial files of the firm. To include; completing necessary dormant accounts, confirmation statement filing, updates on shareholdings and appointment and removal of directors.
